Terms of Service

Welcome to BIDGRIT. By accessing or using the BIDGRIT website, application, or any related services (together, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. The Service

BIDGRIT is a software-as-a-service platform that uses artificial intelligence to generate draft construction proposals and Home Improvement Contracts intended to comply with California Business & Professions Code § 7159 and related statutes. Generated documents are drafts and are not a substitute for legal advice.

2. Eligibility & Account

  • You must be at least 18 years old and authorized to enter contracts in California.
  • If you represent a licensed contractor, you warrant that the CSLB license number you enter is valid and belongs to you or your employer.
  • You are responsible for safeguarding your login credentials. Notify us immediately of any unauthorized use.

3. Subscriptions, Billing & Usage Limits

  • Paid subscriptions (Starter, Pro, Agency) are billed monthly or annually via Stripe. Prices are shown at checkout.
  • Starter is capped at 15 proposals per billing cycle. Pro and Agency are uncapped within fair-use limits.
  • Annual plans are discounted 20% and billed up-front.
  • Subscriptions renew automatically unless canceled before the next cycle.
  • Price changes will not affect grandfathered existing customers until they materially upgrade.

4. AI-Generated Content & Legal Compliance

BIDGRIT uses OpenAI GPT-4o to generate contract text. While we train the system on California statutory requirements, AI output may contain errors, omissions, or outdated references. Every contract must be reviewed by the contractor (and a licensed California construction attorney where appropriate) before delivery to any client.

5. Electronic Signatures

E-signatures collected through BIDGRIT are intended to satisfy the California Uniform Electronic Transactions Act (Civil Code § 1633.1 et seq.) and the federal E-SIGN Act (15 U.S.C. § 7001 et seq.). An audit trail (IP address, user agent, timestamp, confirmation ID) is recorded for each signature.

6. Acceptable Use

  • No illegal activity, fraud, or impersonation.
  • No using the Service to generate non-construction or non-California-compliant contracts in a way that misrepresents them as such.
  • No reverse-engineering, scraping, or circumventing rate limits.
  • No sharing your account with non-licensed users of a different tier.

7. Intellectual Property

You retain ownership of the data you input and the documents you generate. BIDGRIT retains all rights to the platform, system prompts, brand, and underlying technology. You grant BIDGRIT a limited license to process your data to provide the Service.

8. Disclaimer & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. BIDGRIT DOES NOT WARRANT THAT GENERATED CONTRACTS ARE FIT FOR A PARTICULAR PURPOSE OR LEGALLY SUFFICIENT FOR ANY SPECIFIC TRANSACTION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDGRIT’S AGGREGATE LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

You may cancel at any time from your dashboard. BIDGRIT may suspend or terminate accounts that violate these Terms, with or without notice, and will provide a prorated refund only where required by law.

10. Governing Law

These Terms are governed by the laws of the State of California. Disputes shall be resolved in the state or federal courts located in Los Angeles County, California.
